Icelandair Agrees to Acquire 49% of Former PLAY Maltese AOC Platform for USD 686,000

AeroMorning 2d August 21, 2026

Reykjavedk, Iceland 2d2d August 20, 2026 2d2d Following an April Letter of Intent, Icelandair Group agreed to acquire a 49% stake in Fly Play Europe Holdco (FPE) for USD 686,000 from FPE hs., a fund managed by cdsafold Capital Partners. Existing investors will retain 51%.

Corporate Structure & History

Structure: Fly Play hf. (Icelandic parent) 3020Fly Play Europe Holdco (Malta holding company) 3020Fly Play Europe Ltd. (Malta, holder of Air Operator Certificate AOC MT2d85).

Background: PLAY established the Maltese structure to expand internationally, backed by approximately ISK 2.8 billion (about USD 23.1 million) in secured bonds. After PLAY ceased airline operations in September 2025, creditors enforced their security interests and recovered the Maltese holding structure.

Scope: Icelandair is acquiring 49% of the holding company, not the AOC itself. Fly Play Europe Ltd. remains the sole holder of AOC MT2d85 and remains responsible for regulatory compliance under Transport Malta.

Transaction Economics & Governance

The USD 686,000 purchase price implies a simple equity valuation of approximately USD 1.4 million for FPE. This should not be interpreted as the value of an active airline or of the AOC itself, but rather of a largely non2doperating platform recovered by creditors following PLAY27s collapse.

The transaction also includes undisclosed financing arrangements and options allowing Icelandair to increase its stake. A shareholders27 agreement governs the relationship between the shareholders. Although Icelandair initially owns only 49%, actual control cannot be determined from ownership percentages alone: board representation, veto rights and reserved matters depend on the agreement27s undisclosed provisions.

Icelandair expects the acquisition to have an immaterial impact on its 2026 balance sheet and financial performance.

Strategic Rationale

Rather than building a new EU operating platform from scratch, Icelandair gains access to an existing Maltese aviation platform and AOC.

Operational flexibility: Core scheduled operations can remain under Icelandair27s Icelandic AOC, while aircraft used for seasonal, charter or ACMI operations could potentially be operated through the Maltese platform.

Commercial opportunities: The platform could support ACMI2fwet2dleasing, charter flights, international operations and aircraft2dleasing activities, benefiting from Malta27s regulatory framework and air2dservice agreements.

Mutual benefit: Former PLAY creditors monetize part of a recovered asset while retaining 51% of its potential future upside. Icelandair, in return, gains an established Maltese AOC and operating platform for USD 686,000, giving it a low2dcost entry into a European operating structure that could support aircraft deployment, ACMI, charter and other international activities. The arrangement also gives Icelandair options to increase its stake if the platform proves commercially successful.

Next Steps & Open Questions

The transaction remains subject to closing conditions and Maltese aviation regulatory approval concerning continued use of the AOC.

Key undisclosed terms2d2dincluding option exercise prices, board control, veto rights and future capital or debt commitments2d2dcould ultimately determine the true economics and balance of power between the 49% and 51% shareholders.
