Cathay Pacific Shareholders Approve Off‑Market Buy‑Back of Qatar Airways’ Stake – Filed with the Hong Kong Stock Exchange (HKEX)

Hong Kong Feb.12, 202.  – Cathay Pacific Airways Limited has received overwhelming approval from its independent shareholders to repurchase the entire shareholding previously held by Qatar Airways, marking a significant shift in the airline’s ownership structure and a vote of confidence in its future prospects.

According to the circular and filings lodged with the Hong Kong Stock Exchange (HKEX) https://www.hkexnews.hk/listedco/listconews/sehk/2026/0114/2026011400063.pdf,

Qatar Airways had entered into an undertaking on 5 November 2025 to sell its entire 643,076,181 shares, representing approximately 9.57% of Cathay Pacific’s issued share capital, back to the Hong Kong carrier. Cathay will repurchase the shares at a price of HK$10.8374 per share, for a total consideration of about HK$6.97 billion (approximately USD 892 million).

The proposed share buy‑back required the approval of at least three‑quarters of the votes cast by independent shareholders at an extraordinary general meeting (EGM). The resolution was passed with 99.9% of independent votes in favour, while Qatar Airways appropriately abstained from voting under the Hong Kong share buy‑back code.

Upon completion of the buy‑back, Cathay Pacific’s issued share count will be reduced, increasing the relative ownership of its major strategic shareholders. Swire Pacific’s stake is expected to rise to approximately 47.7%, while Air China will hold just under 30%.

The buy‑back was structured as an off‑market transaction and documented in a circular and share buy‑back deed duly filed with the HKEX, where Cathay Pacific’s shares are listed. The HKEX filings, which include detailed terms and conditions of the buy‑back and relevant disclosures, confirm the formal regulatory process and compliance with Hong Kong Listing Rules and take‑over codes.

Cathay Pacific and Qatar Airways have both stated that, despite the change in share ownership, they will continue their strategic partnership under the oneworld airline alliance, reflecting ongoing cooperation in operations and network connectivity.
