Air France-KLM and Lufthansa invited to bid for TAP

Air France-KLM and Lufthansa Invited to Submit Binding Bids for TAP Air Portugal Privatization

AeroMorning – John Smith – April 24, 2026

Lisbon, April 24, 2026 — The Portuguese government has officially confirmed that Air France-KLM and Lufthansa have been selected to advance to the final stage of the privatization process of TAP Air Portugal, with both groups now invited to submit binding offers for the acquisition of a strategic stake in the airline. The announcement was made following a Council of Ministers decision published on April 24, 2026.

According to the official statement from the Portuguese government, the two European aviation groups have been shortlisted after an initial evaluation phase and are now competing for up to 44.9% of TAP Air Portugal, with the state retaining a controlling position in the airline.

Official Government Announcement

The Council of Ministers stated that:

  • Air France-KLM and Lufthansa are the only two candidates selected for the final phase of the privatization process.
  • Both groups are invited to submit binding offers within a defined timeframe of approximately three months.
  • The objective of the process is to identify a strategic partner capable of ensuring TAP’s long-term sustainability, connectivity, and competitiveness, while the Portuguese state retains a controlling stake.

This marks a decisive step in the long-running effort by Portugal to partially privatize its flag carrier while preserving its strategic role in national infrastructure.

Why TAP Air Portugal Is Strategically Important

TAP Air Portugal is considered one of Europe’s most strategically positioned airlines for several reasons:

  1. Gateway between Europe, Africa, and South America
TAP has a particularly strong network linking Europe with Brazil and Portuguese-speaking African countries such as Angola and Mozambique. This “Lusophone corridor” is a unique asset among European carriers.
  2. Lisbon as a transatlantic hub
Lisbon Airport serves as a natural bridge between Europe and the Americas, especially for North and South Atlantic routes, making TAP valuable for any global airline alliance strategy.
  3. Tourism-driven national economy
Portugal’s economy relies heavily on tourism, and TAP plays a critical role in sustaining year-round connectivity, particularly to long-haul markets.
  4. Fleet modernization and restructuring potential
Despite financial difficulties in recent years, TAP has undergone restructuring and modernization, making it an attractive turnaround opportunity for a large aviation group.

Why Only Air France-KLM and Lufthansa Remain in the Process

The final shortlist reflects both financial and strategic filtering criteria established by the Portuguese government. Several factors explain why only these two groups remain:

  • Financial capacity and scale: Both Air France-KLM and Lufthansa are among Europe’s largest airline groups, capable of absorbing investment requirements and restructuring commitments.
  • Network complementarity: Each group offers strong hub-and-spoke systems (Paris–Amsterdam and Frankfurt–Munich) that could integrate TAP’s Lisbon hub into broader global networks.
  • Strategic alignment with EU aviation frameworks: As European carriers, both groups comply with regulatory, ownership, and competition rules more easily than non-EU competitors.
  • Long-term operational guarantees: The Portuguese government prioritized bidders able to guarantee long-term fleet investment, job stability commitments, and route preservation.

Earlier in the process, other interested parties were either not selected or did not progress to the binding offer stage due to strategic fit or evaluation criteria.

Outlook

The next phase will see Air France-KLM and Lufthansa submit detailed binding proposals outlining valuation, governance structure, and long-term strategic plans for TAP. The Portuguese government is expected to evaluate not only financial terms but also commitments to maintain Lisbon’s role as a global hub and preserve national connectivity priorities.

The outcome of this process will determine the future strategic alignment of one of Europe’s most geopolitically significant mid-sized airlines.
